LEGL 2310 Corporate Law 3 Credit Hour(s) This course includes the study of corporations, limited liability companies, and other forms of businesses and the applicable laws of formation. Students prepare a variety of documents related to these business formats. Student Learning Outcomes: Upon completion of this course, the student will be able to:
- differentiate among the various types of business entities and understand the advantages and disadvantages of each type of business entity;
- prepare a simplified partnership agreement;
- draft a corporate charter and dissolution documents according to state statutes;
- prepare articles of organization and an operating agreement for a limited liability company; and
- locate the appropriate state statutes on the various types of business entities.
Prerequisite(s): LEGL 1300 and LEGL 1320 with a “C” or better
